Farmsured® Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Farmsured® mobile application, web interfaces, APIs and any other channel expressly designated by Agribusiness Dynamics Technology Limited (“AgDyna”, “we”, “us” or “our”) as part of the Farmsured service (collectively, the “Service”). By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms operate together with our Privacy Notice and any product-specific, transaction-specific, programme, marketplace, finance, insurance, healthcare, pension, payment, cooperative, enterprise or partner terms presented to you. Where specific terms apply to a particular service, they form part of your agreement for that service and prevail over these Terms to the extent of any inconsistency, subject to applicable law.
PART A — FARMSURED: THE AGRICULTURAL ASSURANCE PLATFORM
1. The AgDyna Ecosystem and Scope of These Terms
Farmsured is one product in the AgDyna ecosystem. Farmsured is AgDyna’s agricultural assurance and compliance infrastructure. It helps agricultural value-chain participants verify input integrity, record production practices, evidence compliance activities, support traceability and assess output readiness.
Farmtrove® is a separate AgDyna product that provides access to benefits and financial or social-protection services that may be made available to eligible users. Farmtrove services may be accessible through the Farmsured app; Part B of these Terms governs those services where they are offered.
FarmClusters® and Foodsured® are separate AgDyna products or service layers and may be governed by their own or additional terms. Access to another AgDyna product through a common interface does not merge the legal or functional identity of the products.
AgDyna is a technology and platform operator. Unless a product-specific agreement expressly states otherwise, Farmsured itself does not hold customer deposits, act as the lender of record, underwrite insurance, provide medical treatment or manage pension funds.
2. The Farmsured Assurance Architecture
Farmsured is structured around three assurance standards families:
FICS — Farmsured Input Compliance Standard: input assurance, including screening, authenticity, source, batch and tag-based verification.
FPCS — Farmsured Production Compliance Standard: production assurance, including protocols, activities, checkpoints, evidence, production records, non-conformities, corrective actions and compliance assessments.
FOCS — Farmsured Output Compliance Standard: output assurance, including output screening, production-assurance snapshots, withdrawal checks, required laboratory or other evidence and release decisions.
The standards families are not identical software models. FICS is primarily input and screening driven, FPCS is process and protocol driven, and FOCS is output and assessment driven. A Compliance Protocol is the executable digital representation used by Farmsured to operationalise applicable production requirements; it is not itself a government-issued standard or licence.
3. Eligibility and Authority
You must be at least 18 years old, or the age of legal majority where you live, and capable of entering into a binding agreement. If you use the Service for a farm, company, cooperative, institution or other organisation, you represent that you are authorised to accept these Terms and use the Service on its behalf.
Farmsured is not directed to children. You must not create an account for a child or allow a child to access financial, contractual, compliance-decision or marketplace features through your account.
We may require identity, role, farm, organisation, licence, professional qualification, registration, KYC or other verification before enabling particular functions. Access may be restricted until verification is complete.
4. Accounts, Authentication and Security
You must provide accurate, current and complete information and keep it up to date. You are responsible for activity carried out through your account, except to the extent the activity results from a security failure attributable to us.
You must keep passwords, PINs, one-time codes, recovery methods and devices secure and must not share them with unauthorised persons. We will not ask you to disclose a password, PIN or one-time authentication code for the purpose of taking control of your account.
Where biometric or device authentication is enabled, the relevant device, operating system or authentication provider may process authentication signals in accordance with its own terms and our Privacy Notice.
Notify us promptly if you believe your account, device, credentials, tags, wallet, linked account or farm records have been compromised. We may use multi-factor authentication, session controls, role-based permissions, transaction verification, risk checks and other security measures.
5. User Roles and Permissions
Farmsured supports multiple user and organisational roles, which may include farmers, farm workers or managers, field or cluster officers, manufacturers, service providers, laboratories, veterinarians, buyers, administrators, programme partners and other authorised actors.
The features you can access depend on your role, permissions, organisation, verification status, geography, programme and, where relevant, compliance or benefit eligibility. Client-side visibility does not override server-side permissions.
Where you authorise another person to act for your farm or organisation, you are responsible for assigning appropriate access and revoking it when it is no longer required.
6. Farm, Production and Compliance Records
Farmsured is an evidence system. Its integrity depends on accurate and timely records. You are responsible for information submitted by you or your authorised representatives, including farm details, production-unit information, production cycles, activities, checkpoints, input usage, treatments, vaccinations, mortality, production measurements, samples, laboratory results, non-conformities, corrective actions, marketplace information and supporting evidence.
You must not fabricate, backdate, conceal, manipulate or materially misstate compliance evidence; submit another person’s record as your own; or knowingly associate an input, batch, treatment, sample or output with the wrong farm, unit or production cycle.
Certain records may be preserved as audit records, decision records or immutable historical snapshots after a screening, verification, transaction, compliance assessment or other material event. A later correction may therefore create a new version, annotation or decision rather than silently altering the historical record.
Where an authorised officer, veterinarian, laboratory, service provider or other actor submits evidence on behalf of a farm, Farmsured may record who performed, verified or approved the action.
7. Products, Tags, QR Codes and Traceability
Farmsured may use physical or digital identifiers, QR codes, serialised labels, paired tags and related verification workflows to connect products, input batches and production activities to digital records.
Where paired tags are used, one code or colour may be used for authenticity or source verification and another for usage activation or production evidence. You must follow the purpose shown in the Service and must not swap, duplicate, reuse, resell, counterfeit, clone or deliberately misapply tags or identifiers.
Tag or QR events may capture time, user, farm, production cycle, product, batch, device, location or geolocation information where required for the verification purpose and permitted by our Privacy Notice and applicable law.
A successful scan confirms only what the relevant Farmsured workflow is designed to verify. It does not, by itself, guarantee product condition, quality, efficacy, safety, fitness for purpose, regulatory approval or the absence of fraud elsewhere in the supply chain.
Manufacturers, suppliers and product owners remain responsible for the accuracy of product information, batch information, label data and other information they submit.
8. Compliance Protocols, Scores and Assurance Decisions
Farmsured may translate standards, regulations, good-practice requirements and AgDyna operational rules into digital protocols, checkpoints, evidence requirements, risk categories, scores, triggers and decision rules.
A Farmsured score, screening result, approval, conditional approval, warning, hold, rejection, trust indicator, eligibility indicator or readiness indicator is a platform assurance outcome based on the rules and evidence available at the relevant time.
Unless expressly stated otherwise in a written regulatory or certification arrangement, a Farmsured outcome is not a statutory licence, government certification, veterinary certificate, laboratory accreditation, export certificate or guarantee of legal compliance.
A favourable Farmsured outcome does not guarantee that an input or output is free from contamination, disease, adulteration, residue, defect or other hazard. Users remain responsible for complying with applicable laws, standards, veterinary obligations, food-safety requirements, labelling rules, withdrawal periods and professional duties.
We may revise or withdraw a status where new evidence, fraud, data error, laboratory findings, treatment information, failed verification, regulatory instruction or other material information justifies a different outcome.
If you believe a material record or assurance decision contains a factual error, you may request review and provide supporting evidence. We may request further records or independent verification before changing the record.
9. Laboratory, Veterinary and Professional Information
Farmsured may display, store or link laboratory results, veterinary records, treatment information, withdrawal calculations, farm observations, measurements or professional recommendations.
Unless a named laboratory, veterinarian or other licensed professional expressly issues a result or advice in their own capacity, Farmsured does not provide veterinary diagnosis, prescribe treatment, certify laboratory accuracy or replace professional judgement.
Seek qualified veterinary, laboratory, agronomic, food-safety, legal, financial or other professional advice where required. In emergencies, suspected disease outbreaks, contamination, animal-welfare incidents or public-health risks, follow applicable reporting and response obligations rather than relying solely on the Service.
10. FarmGPT and Artificial-Intelligence Features
Farmsured may include FarmGPT, conversational assistants, retrieval tools, automated analyses, recommendations, summaries or other AI-enabled features based on user data, farm context, uploaded documents, third-party information or configured knowledge sources.
AI-generated content may be incomplete, outdated, uncertain or wrong. It is provided as decision support and is not a substitute for qualified veterinary, agronomic, food-safety, financial, legal, medical or other professional advice.
Independently verify information before making decisions that may affect animal health, food safety, chemical or veterinary-product use, withdrawal periods, financial commitments, regulatory compliance, human health or significant commercial outcomes.
You must not use AI features to fabricate or conceal compliance evidence, impersonate professionals, evade safeguards or carry out unlawful activity. We may restrict or rate-limit AI usage where reasonably necessary for safety, quality, abuse prevention or cost management.
11. Marketplace, Products, Services and Trade
Farmsured or connected AgDyna services may allow users to view, list, buy, sell, aggregate or facilitate agricultural products, inputs, produce, services or trade opportunities.
Unless AgDyna is expressly identified as the seller, supplier or contracting party, AgDyna provides a digital marketplace or transaction-facilitation service and the underlying sale or service contract is between the relevant buyer, seller or service provider.
Sellers and service providers are responsible for the accuracy of descriptions, quantities, prices, availability, licences, quality claims, delivery commitments, invoices, taxes and legal compliance applicable to what they offer. Buyers are responsible for reviewing the relevant listing and transaction terms before purchase.
We may use escrow, staged payment, transaction verification, waybills, booking references, ledgers, part-payment records or settlement controls. Release, refund, reversal, dispute or cancellation rules may be stated in transaction-specific terms.
We do not guarantee that a buyer, seller, transporter, service provider, cooperative or other third party will complete a transaction. Mandatory consumer rights are not waived by these Terms.
12. User Communications
Where the Service allows you to exchange messages or content with other users, you remain responsible for what you send. You must not send content that is unlawful, abusive, harassing, fraudulent, misleading, obscene or infringing.
We may review, moderate, remove or restrict content, or restrict accounts, where reasonably necessary to enforce these Terms, protect users or comply with law. We do not routinely monitor all private communications.
Where reporting or moderation tools are available in the app, you may use them. You may also contact Farmsured support to report abuse, fraud, impersonation or unsafe content.
PART B — FARMTROVE: BENEFITS, FINANCIAL SERVICES AND SOCIAL PROTECTION
13. Nature of Farmtrove Services and Eligibility
Farmtrove may provide access to a bundle of benefits and services that can include Finance, Insurance, Healthcare and Pensions, together with wallets, payments, rewards and related services. Not every category or product is necessarily available in every release, programme, geography or user account.
Farmsured compliance may unlock or improve eligibility for particular Farmtrove benefits, but compliance alone does not create an automatic entitlement. Eligibility may also depend on identity verification, farm or enterprise status, provider criteria, underwriting, affordability, programme funding and continued product availability.
A benefit may be subsidised, free to the user, partly subsidised, contributory or paid, depending on the product. Where a premium, fee, contribution, interest, markup, co-payment or other charge applies, it must be disclosed before you accept or enrol in that product.
Unless a product-specific agreement expressly states otherwise, AgDyna acts as a technology, distribution, administration or facilitation channel. The underlying regulated product is provided by the relevant licensed or authorised third party.
14. Licensed or Authorised Providers and Point-of-Use Disclosure
Farmtrove products may be delivered through banks, payment companies, lenders, insurers, insurance intermediaries, health providers, health maintenance organisations, pension fund administrators, KYC providers or other regulated or specialised institutions.
Partner names are not fixed in these Terms because provider arrangements may change. Before you apply for, enrol in or accept a regulated product, the Service or the relevant product documentation should disclose the legal name of the current provider, its role and the product-specific terms that apply.
We may add, replace or discontinue providers. Where a provider change affects a product you already hold, the applicable provider or AgDyna will communicate the transition arrangements as required by law and the product contract.
15. Identity Verification and KYC
Access to certain Farmtrove services may require identity verification. Depending on the product and applicable law, you may be asked for your Bank Verification Number (BVN), National Identification Number (NIN), government-issued identification, business registration information, address, farm information or other verification data.
Verification information may be processed by identity-verification providers and by the licensed or authorised providers responsible for the service you request, for purposes including identity confirmation, fraud prevention, KYC, anti-money-laundering, credit assessment, account opening and regulatory compliance.
You may decline optional verification, but a service that legally or operationally requires verification may remain unavailable. Farmsured compliance functions that do not require the same verification may remain available.
How we process and share verification information is further described in our Privacy Notice and, where applicable, a product-specific notice.
16. Wallets, Payments, Transfers and Bill Payments
Where a Farmtrove wallet, virtual account or payment feature is offered, funds may be held or processed by a licensed financial institution or payment service provider. Unless expressly stated otherwise, AgDyna provides the interface and does not take customer deposits for its own account.
Wallet balances are not deposits with AgDyna and are not guaranteed by AgDyna. The relevant operator, limits, fees and processing rules should be disclosed in the Service or provider documentation.
Payments, bank transfers, withdrawals, airtime, data or utility payments may be processed by third-party payment providers. You are responsible for checking recipient account details, meter numbers, phone numbers and other transaction information before confirmation.
A transaction submitted to an external payment network may become irreversible once executed. Where a transaction fails, duplicates or is disputed, we may assist with investigation and provider escalation, but settlement timelines may depend on the responsible provider or network.
We may apply transaction limits, holds, additional verification, fraud controls, reversals or suspension where reasonably necessary for security, chargeback, dispute, compliance or regulatory purposes.
17. Farmtrove Finance and Agricultural Trade Credit
Farmtrove Finance may include agricultural trade credit and other credit products offered to eligible farms or enterprises through licensed or authorised providers. Each product is governed by its own offer and agreement.
Where a product is specifically designated as agricultural trade credit, it is intended for the registered farm or enterprise to purchase eligible agricultural inputs or services. Where stated in the product terms, value may be paid directly to an input supplier or approved merchant rather than disbursed as personal cash.
AgDyna may facilitate application, verification, provider integration, supplier settlement, repayment support or servicing, but AgDyna is not the lender of record unless a specific agreement expressly identifies AgDyna as such.
Before you accept a credit facility, the Service or lender documentation should disclose the legal name of the lender and all material terms required by applicable law, which may include the principal or credit amount, interest or markup, fees, total amount repayable, tenor, payment schedule, due dates, effective annualised rate where applicable, security or recovery arrangements, consequences of late or non-payment and any credit-bureau reporting.
You must review and expressly accept the product-specific credit agreement before a facility is issued. These Terms do not replace that agreement.
Repayment may be made in cash, by scheduled debit, through permitted wallet arrangements, from trade proceeds, at offtake or by another method stated in the credit agreement. An outstanding credit obligation survives account suspension or deletion and remains payable to the responsible lender.
Nothing in these Terms is an offer of a guaranteed-return investment, security or deposit product.
18. Farmtrove Insurance
Where insurance is offered, it is underwritten or administered by the insurer or authorised intermediary identified before enrolment. AgDyna is not the insurer unless a policy document expressly states otherwise.
Coverage, premiums, exclusions, waiting periods, deductibles, claim requirements, limits and settlement are governed by the policy or benefit document. If these Terms conflict with a policy on the scope of insurance cover, the policy document governs that cover.
Claims decisions are made by the responsible insurer or claims administrator. AgDyna may provide a distribution, claims-intake, information or support channel but does not guarantee claim approval or settlement.
19. Farmtrove Healthcare
Where healthcare benefits are offered, they are provided by the health provider, HMO or other authorised provider identified before enrolment. AgDyna is not a healthcare provider, HMO or medical practitioner and does not provide diagnosis, treatment or emergency medical care.
Covered services, networks, waiting periods, exclusions, contributions, claims or authorisation procedures are governed by the provider’s terms.
Health information may be sensitive personal data. Where such information is required, it will be processed in accordance with the Privacy Notice, applicable law and any additional notice or consent required for the specific service.
In a medical emergency, contact emergency services or attend an appropriate healthcare facility directly. Do not rely on the app.
20. Farmtrove Pensions
Where pension services are offered, they are provided by the Pension Fund Administrator, custodian or other authorised institution identified before enrolment. AgDyna does not hold, invest or manage pension contributions unless a specific lawful arrangement expressly states otherwise.
Contributions, fees, investment options, returns, withdrawal conditions and retirement benefits are governed by the provider’s terms and applicable Nigerian pension regulation.
Investment returns are not guaranteed. AgDyna does not provide investment advice or guarantee the performance of any pension or investment fund.
21. Points, Rewards and Benefit Eligibility
Farmsured or Farmtrove may award points or other benefit units for verified activities, compliance events, eligible purchases, approved listings or other qualifying behaviour. Award rules may include idempotency checks, caps, multipliers, verification requirements, expiry rules and programme limits.
Unless an active feature and its specific terms expressly provide otherwise, points have no guaranteed cash value and cannot be withdrawn, sold or transferred as money. Points are not, merely by being recorded in the Service, deposits, e-money, securities, cryptocurrency or an ownership interest in AgDyna.
Where the Service expressly permits conversion of points into another internal benefit or token unit, the applicable rate, eligibility, timing, limits and redemption rules will be displayed or governed by the relevant feature terms. The existence of a conversion feature does not create a guaranteed redemption value or investment return.
Points or benefits obtained through fraud, duplicate claims, manipulated scans, erroneous records, abuse or technical error may be withheld, reversed or cancelled after reasonable investigation.
A compliance score, point balance or reward status does not create an automatic entitlement to finance, insurance, healthcare, pension, premium-market access or another third-party product.
PART C — GENERAL TERMS
22. Privacy and Personal Data
Our Privacy Notice explains how we collect, use, disclose, retain, protect and otherwise process personal data. By using the Service, you acknowledge that processing necessary to provide the Service will occur in accordance with that notice and applicable data-protection law, including the Nigeria Data Protection Act 2023 where it applies.
Depending on the features you use, data may include identity and contact details, account and role information, farm and organisation information, location or geolocation events, device and session information, production and compliance records, transaction and payment information, linked financial-account data, KYC information, communications, uploaded documents and images, laboratory or veterinary records, health data where relevant, and usage analytics.
We may share data with processors, service providers, regulated providers, insurers, laboratories, professional service providers, programme partners, buyers, cooperatives, regulators or other recipients only where permitted by law, necessary for the requested service, required for compliance or otherwise described in the Privacy Notice.
You may exercise applicable data-subject rights through the contact channels stated in our Privacy Notice. Rights may be subject to lawful exceptions, identity verification, legal retention duties and the rights of other persons.
23. Account Deletion and Data Retention
You may request account deletion through the in-app account controls when available, through the designated web deletion method identified in our Privacy Notice or Google Play listing, or by contacting Farmsured support from your registered contact details.
Where technically and legally possible, we will delete or de-identify account profile information that is no longer required. Some records may need to be retained because of financial, tax, insurance, pension, anti-money-laundering, fraud-prevention, audit, compliance, dispute, legal or regulatory obligations.
Account deletion does not erase an outstanding payment, credit obligation, active dispute, investigation, claim, regulatory record or other obligation that lawfully survives termination. We will not state fixed retention periods in these Terms unless they have been legally and operationally verified; retention periods are described in the Privacy Notice or applicable product terms.
Where possible, historical compliance or audit records that must remain for integrity or legal reasons may be retained in an appropriately restricted, de-identified or dissociated form rather than silently altered.
24. Communications, Notifications and Mobile Permissions
We may send service communications by in-app message, push notification, email, SMS or another contact method you provide. These may include authentication codes, security alerts, compliance reminders, transaction notices, account changes, operational messages and legally required disclosures.
Where marketing messages are sent, applicable consent and opt-out controls will be provided as required by law. Essential security, transactional or legal notices may continue while your account remains active.
Certain features may require camera access for scanning, location for verification events, notifications for alerts, storage or file selection for evidence uploads, or other device capabilities. Permissions should be requested when needed and used for the stated purpose.
If you deny a permission, the affected feature may not work. You can usually manage permissions through your device settings.
25. User Content, Farm Data and Licence
As between you and AgDyna, you retain ownership of original content and business or farm data that you lawfully submit, subject to any rights belonging to third parties.
You grant AgDyna a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, analyse, transmit and display submitted content to provide, secure, support and improve the Service; perform verification, compliance and traceability functions; fulfil transactions and programmes; generate reports you request; meet legal obligations; and exercise rights described in the Privacy Notice.
You represent that you have the rights, permissions and lawful basis needed to submit any personal data, farm records, images, documents, laboratory results or other information you upload.
We may create aggregated, statistical or de-identified information from platform activity and use it for analytics, research, benchmarking, programme reporting and service improvement in accordance with applicable data-protection law.
Feedback or suggestions you voluntarily provide may be used to improve AgDyna products without an obligation to pay you, provided this does not transfer ownership of your underlying confidential information.
26. AgDyna Intellectual Property
Farmsured and its software, user interfaces, system architecture, standards frameworks, protocols, scoring methods, tag and traceability systems, databases, documentation, designs, content, logos, names and related intellectual property are owned by or licensed to Agribusiness Dynamics Technology Limited, except for third-party materials identified as such.
AgDyna®, FarmClusters®, Farmsured®, Farmtrove® and Foodsured® and their associated marks are proprietary brand assets of AgDyna. No ownership rights in those marks are granted by these Terms.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for your authorised agricultural, business, programme or personal purposes.
You may not copy, decompile, reverse-engineer, resell, commercially redistribute or create derivative products from proprietary portions of the Service except to the extent such a restriction is prohibited by law or we give written permission.
27. Fees, Subscriptions and Taxes
Some services may be free and others may require a subscription, transaction fee, tag fee, service fee, programme charge, premium, contribution or other payment. Applicable charges should be disclosed before you commit to the relevant paid service.
You are responsible for applicable taxes, levies, bank charges, network charges or third-party fees unless the relevant terms say otherwise. We may change fees prospectively by giving notice where required.
28. Third-Party Services
The Service may integrate with payment gateways, banks, open-banking providers, insurers, lenders, KYC providers, laboratories, email or messaging providers, mapping services, cloud infrastructure, AI providers and other third parties.
Third-party services are subject to their own availability, licences, privacy practices and terms. We are responsible for our own legal obligations when selecting and managing processors or integrations, but we do not control every act, decision or outage of an independent provider.
Where you enter into a direct contract with a third party through the Service, that third party remains responsible for its own regulated or professional service except to the extent AgDyna has expressly undertaken responsibility.
29. Acceptable Use and Prohibited Conduct
You must use the Service lawfully, honestly and in a manner that does not harm the platform, other users, consumers, animals, food systems or third parties.
You must not:
Use the Service for fraud, deception, money laundering, terrorism financing, unlawful lending, unlawful trading, harassment, abuse or other illegal activity.
Submit false compliance, production, laboratory, veterinary, KYC, farm, benefit or transaction information.
Counterfeit, clone, forge, alter, duplicate, tamper with, scrape, enumerate or misuse tags, QR codes, serials, credentials, points, rewards, transaction references or platform APIs.
Access another user’s account, farm, wallet, documents or data without authority, or bypass security or permission controls.
Introduce malware, denial-of-service traffic, harmful code or automated activity that materially degrades the Service.
Use another person’s identity, account or farm without authority, or impersonate another user, professional or organisation.
Use Farmsured content, proprietary datasets or outputs to build a competing commercial service or train a competing model without written permission, except where applicable law gives you a right that cannot be restricted.
Use the Service to violate intellectual-property, privacy, consumer-protection, food-safety, animal-welfare, professional or other legal rights.
We may investigate suspected misuse and may preserve or disclose relevant evidence where permitted or required by law.
30. Service Availability, Changes and Beta Features
We aim to operate the Service reliably, but we do not promise uninterrupted or error-free availability. Maintenance, connectivity, device limitations, third-party outages, security incidents, force majeure or other events may affect access.
We may add, modify, replace or discontinue features to improve the Service, respond to law or regulation, maintain security, support new standards or remove obsolete functions. Where a change materially affects a paid service or contractual right, we will provide notice as required by law or the applicable specific terms.
Features identified as beta, pilot, experimental, research, validation or preview may change more frequently and may not be suitable for mission-critical reliance unless a separate agreement states otherwise.
31. Suspension and Termination
You may stop using Farmsured at any time and may request account deletion as described above.
We may restrict, suspend or terminate access where reasonably necessary because of fraud, material breach of these Terms, security risk, unlawful conduct, repeated falsification of evidence, misuse of tags or points, non-payment of an applicable paid service, regulatory instruction, sanctions or serious risk to users or platform integrity.
Where practicable and lawful, we will provide notice and an opportunity to resolve the issue before permanent termination. Immediate action may be taken where necessary to protect users, funds, evidence, food safety, cybersecurity or legal compliance.
Termination does not affect rights and obligations accrued before termination. Outstanding credit, payment, insurance, pension, intellectual-property, confidentiality, data-retention, dispute and liability obligations survive where their nature requires.
32. Consumer Rights and Fair Dealing
Nothing in these Terms excludes, restricts or waives rights or remedies that cannot lawfully be excluded under the Federal Competition and Consumer Protection Act 2018 or other applicable consumer-protection law.
We will not rely on these Terms to exclude liability for fraud, wilful misconduct, gross negligence or other liability that applicable law does not permit us to exclude or limit.
If you use the Service as a consumer, you may have statutory rights relating to clear information, fair contract terms, price disclosure, cancellation, returns, quality, safety, complaints and redress. Product-specific terms must be read consistently with those rights.
33. Disclaimers
To the fullest extent permitted by law, the Service is provided on an “as available” basis. We do not promise that every feature will always be available, that every third-party data source is accurate, or that every compliance, AI, marketplace, financial or traceability outcome will meet your expectations.
Agricultural production involves biological, environmental, market, operational and regulatory risks outside our control. Farmsured records and supports compliance; it does not eliminate those risks.
No information in the Service should be interpreted as a guarantee of yield, mortality, productivity, food safety, market price, finance approval, insurance claim, regulatory approval, investment return or commercial success.
34. Limitation of Liability
To the fullest extent permitted by applicable law, AgDyna will not be liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable when you agreed to these Terms, including loss of profit, opportunity or goodwill arising solely from such unforeseeable loss.
Any liability limitation in these Terms is subject to mandatory consumer, data-protection, financial-services and other laws. Nothing in these Terms limits liability where limitation is prohibited by law.
You remain responsible for decisions you make using farm, compliance, marketplace, financial or AI information, except to the extent a loss is directly caused by AgDyna’s breach of a legal or contractual duty.
AgDyna does not assume the independent contractual responsibility of a lender, insurer, healthcare provider, pension provider, laboratory, seller or other third party merely because that party’s service is accessible through Farmsured or Farmtrove.
35. Responsibility for Business-User Misconduct
If you use the Service primarily for business or professional purposes, you are responsible for third-party claims and losses directly caused by your unlawful content, fraudulent records, unauthorised use of another person’s data, infringement of third-party rights or material breach of these Terms, to the extent permitted by law.
This section does not require a consumer to indemnify AgDyna for AgDyna’s own negligence, defective performance, misrepresentation or other liability that applicable law places on us.
36. Confidentiality for Business and Programme Users
If you receive non-public information through an enterprise, cooperative, programme, marketplace or partner relationship, you must use it only for the authorised purpose and protect it from unauthorised disclosure.
This does not prevent lawful disclosure to regulators, courts, professional advisers or others where disclosure is required by law or an applicable agreement. Separate confidentiality or data-sharing agreements may impose additional obligations.
37. Complaints, Support and Dispute Resolution
We encourage you to raise complaints first through Farmsured support so we can investigate and attempt to resolve them promptly.
Consumers may also exercise any right to complain to the Federal Competition and Consumer Protection Commission, the Nigeria Data Protection Commission, a sector regulator or a competent court. Nothing in these Terms removes those statutory rights.
For users acting primarily in a business or commercial capacity, a dispute not resolved through good-faith negotiation within 30 days after written notice may be referred to mediation and, if unresolved, to arbitration under the Arbitration and Mediation Act 2023. Unless the parties agree otherwise, the arbitration will be conducted in English by a single arbitrator with the seat in Ibadan, Oyo State, Nigeria. Either party may seek urgent interim or injunctive relief from a competent court where necessary.
If a specific transaction, programme, financing, insurance or enterprise agreement contains a different valid dispute-resolution clause, that clause governs disputes under that specific agreement.
38. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory law that applies to you in another jurisdiction where the Service is lawfully offered.
For disputes not required to be resolved under a valid arbitration agreement, the courts of competent jurisdiction in Nigeria will have jurisdiction, subject to mandatory consumer or other statutory forum rights.
39. Changes to These Terms
We may update these Terms to reflect changes in the Service, law, regulation, security, business operations or user protection. We will publish the updated version and identify when it becomes effective.
Where a change is material, we will provide reasonable notice through the Service, email or another appropriate channel. If applicable law requires fresh consent, we will obtain it. Continued use after the effective date constitutes acceptance only to the extent permitted by law.
40. Electronic Records and Communications
You agree that contracts, notices, consents, disclosures, records and signatures may be provided or captured electronically where permitted by law. You should keep copies of important transaction and product-specific documents.
Platform logs, audit trails, timestamps, tag events, screening records and transaction records may be used as evidence of platform activity, subject to applicable law and your right to challenge an error.
41. General Terms
Entire agreement. These Terms, the Privacy Notice and applicable specific terms form the agreement governing the relevant Service.
Severability. If a provision is held invalid or unenforceable, the remaining provisions remain in effect to the extent lawful.
No waiver. A delay in enforcing a right does not waive that right.
Assignment. You may not transfer your account or these Terms without our written consent. AgDyna may transfer its rights and obligations as part of a lawful corporate reorganisation, financing, merger, acquisition or transfer of the relevant business, subject to applicable law.
Force majeure. Neither party is responsible for delay caused by events beyond reasonable control, except for obligations that law does not permit to be excused.
Headings. Section headings are for convenience and do not change the meaning of the Terms.
